Position Summary

We are seeking a commercially minded and business-oriented Senior Manager, Legal Counsel to join our APAC Legal team based in Shanghai. The successful candidate will serve as the primary legal partner for the Marketing, Omni Commercial, Human Resources and Supply Chain functions, providing strategic legal advice, contract support, risk management guidance, and compliance oversight to enable business growth and operational excellence.

This role will work closely with business stakeholders across multiple functions to support commercial initiatives, manage legal and regulatory risks, ensure compliance with applicable laws and company policies, and help drive practical business solutions. The ideal candidate combines strong legal expertise with business acumen and thrives in a fast-paced, highly collaborative environment. The role is aligned with the APAC Legal team's strategy of providing proactive, business-focused legal support while strengthening governance and fostering sustainable growth.

Key Responsibilities

1. Commercial Contracting & Legal Advisory

  • Draft, review, negotiate, and advise on a broad range of commercial agreements and business arrangements, including:
  • Marketing, advertising, media, sponsorship, influencer, celebrity and talent agreements
  • Omni Commercial initiatives, including e-commerce, omnichannel, customer engagement, loyalty and digital commerce programs
  • HR-related agreements, employment documentation and people-related initiatives
  • Supply chain and operational agreements supporting business activities
  • Provide practical, business-oriented legal advice on day-to-day operations, strategic initiatives, and new business opportunities.
  • Advise stakeholders on applicable legal, regulatory, and commercial considerations to facilitate informed business decision-making.
  • Partner with business teams to develop solutions that support commercial objectives while appropriately managing legal and reputational risks.
  • Draft and maintain legal templates, playbooks, guidance materials, and contracting standards to improve consistency, efficiency, and scalability.

2. Business Partnership, Risk Management & Compliance

  • Serve as a trusted legal advisor to the Marketing, Omni Commercial, Human Resources, and Supply Chain teams, supporting business growth through proactive legal partnership.
  • Identify, assess, and communicate legal, regulatory, commercial, and reputational risks, and provide practical recommendations to mitigate such risks.
  • Collaborate closely with stakeholders throughout the lifecycle of business initiatives to ensure legal and compliance considerations are addressed appropriately and efficiently.
  • Support the interpretation, implementation, and execution of company policies, governance frameworks, and compliance programs across relevant business functions.
  • Monitor legal and regulatory developments and advise business stakeholders on potential impacts and required actions.
  • Deliver legal and compliance training, guidance, and awareness programs to promote a strong culture of integrity, accountability, and compliance.
  • Support continuous improvement of contracting practices, legal processes, and cross-functional collaboration to enhance efficiency and business responsiveness.

Qualifications

Education & Professional Qualifications

  • Bachelor’s Degree or above in Law.
  • Qualified lawyer admitted to practice in China.
  • Overseas legal education or additional legal qualifications are a plus.

Experience

  • 8-12 years of post-qualification legal experience, ideally gained in a multinational corporation and/or leading international or PRC law firm.
  • Significant experience supporting commercial transactions and providing legal advice in one or more of the following areas: marketing, advertising, digital commerce, employment, commercial operations, or supply chain matters.
  • Experience supporting retail, consumer products, fashion, luxury, lifestyle, or e-commerce businesses is strongly preferred.
  • Proven ability to work effectively in a fast-paced, matrixed, international environment.
